Terms of Service

The operating terms for CareReady beta access and subscription-based use.

Agreement to these Terms

These Terms of Service govern access to and use of CareReady, a subscription software service. By creating an account, accessing the service, inviting users, or using CareReady on behalf of a care home or organization, you agree to these Terms and represent that you have authority to bind that organization.

Service description

CareReady provides tools for residential care home operations, including resident records, medication and task logging, caregiver workflows, owner dashboards, report generation, subscription management, and administrative support workflows. CareReady is not an electronic health record replacement, clinical decision support system, emergency response system, medical device, billing service, or legal compliance service.

Customer responsibilities

You are responsible for the accuracy, completeness, legality, and appropriateness of information entered into CareReady; for configuring homes, residents, staff, roles, and plan settings correctly; and for confirming that reports and logs satisfy your organization’s internal policies, licensing obligations, and applicable laws. CareReady does not replace professional judgment, required supervision, mandated records, or regulatory review.

Accounts, roles, and authorized users

You must maintain accurate account information, protect credentials, use strong passwords, and promptly remove or deactivate access for staff who should no longer use the service. Owners and administrators are responsible for assigning appropriate roles and home access. Activity performed through an account may be treated as activity authorized by that account holder or organization.

Customer data and content

As between you and CareReady, you retain ownership of data and content submitted by your authorized users. You grant CareReady the limited rights needed to host, process, transmit, display, secure, back up, troubleshoot, and provide the service. You represent that you have the rights and permissions needed to submit data to CareReady and to allow CareReady to process it for the service.

Privacy and security

CareReady uses administrative and technical measures intended to support responsible beta operations, including authentication, role-based access, audit trails, and managed infrastructure providers. You acknowledge that no system is perfectly secure and that you share responsibility for safe use, including appropriate access controls, device security, user training, and review of exported reports.

HIPAA and regulated health information

CareReady is preparing for stricter compliance needs, but the current beta should not be treated as a final HIPAA production environment unless CareReady has separately confirmed that status in writing. If you are a HIPAA covered entity or business associate, do not use CareReady for protected health information in a way that requires a Business Associate Agreement unless CareReady has confirmed that a valid BAA is in place. You are responsible for determining whether HIPAA or other health privacy laws apply to your use.

Acceptable use

You may not misuse CareReady, interfere with service operation, attempt unauthorized access, test security without written permission, upload malicious code, scrape or reverse engineer the service except as allowed by law, use the service to violate privacy or care regulations, or submit unlawful, deceptive, or harmful content.

Subscriptions, fees, and payment

Paid plans are billed per home and plan tier through Stripe or another designated payment provider. Prices, plan limits, billing intervals, and included features may differ by plan and may change for future billing periods. You authorize payment of applicable fees, taxes, and charges. Failed, past-due, canceled, or paused subscriptions may limit or suspend access to operational features.

Plan limits and changes

CareReady may enforce plan limits such as active resident capacity, reporting access, and multi-home ownership rules. Upgrades, downgrades, cancellations, or billing portal changes may take effect immediately or at the next billing cycle depending on Stripe settings and the selected plan. Each home may be billed separately.

Third-party services

CareReady depends on third-party providers for hosting, authentication, database services, storage, email, payments, analytics, and other operational functions. Your use of payment checkout and billing portal features may also be governed by Stripe’s terms and policies. CareReady is not responsible for third-party service interruptions or acts outside its reasonable control.

Beta changes and availability

CareReady is in active development. Features, workflows, limits, pricing, compliance posture, reports, and user interfaces may be added, changed, suspended, or removed. CareReady may experience downtime, maintenance, data migrations, or service changes. We may provide support, fixes, and updates at our discretion during beta.

Suspension and termination

We may suspend or terminate access if fees are unpaid, if use presents security or legal risk, if these Terms are violated, or if continued operation is impractical. You may stop using the service or cancel paid access through the billing workflow where available. Termination does not relieve payment obligations incurred before termination.

Exports and data retention

You are responsible for exporting, retaining, and backing up records needed for legal, operational, licensing, or care purposes. CareReady may retain data as needed to operate the service, comply with legal obligations, resolve disputes, enforce agreements, maintain backups, and support audit or security needs.

Disclaimers

CareReady is provided on an “as is” and “as available” basis to the fullest extent allowed by law. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free performance, and that the service will satisfy every regulatory, licensing, clinical, or documentation requirement applicable to your organization.

Limitation of liability

To the fullest extent allowed by law, CareReady will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, business interruption, substitute services, or regulatory penalties arising from use of or inability to use the service. To the fullest extent allowed by law, total liability for claims relating to the service will not exceed the amounts paid for the affected home during the three months before the event giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless CareReady from claims, damages, liabilities, penalties, costs, and expenses arising from your data, your users, your misuse of the service, your violation of these Terms, or your violation of laws, care obligations, privacy rights, or third-party rights.

Changes to these Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised date. Continued use of CareReady after updates become effective means you accept the updated Terms.
